     The Partnership was liquidated during the quarter as stated in the
     "Subsequent Events" portion of the annual 10K for the year ended 12/31/96.
     The final accounting for the sale is in process.

                              GENERAL INSTRUCTIONS

    Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
    General Rules and Regulations under the Act.  The information contained in

    Commission files.

    the registrant is registered.
