Effective September 5, 1995, shareholders of each of the Funds of Waddell &
Reed Funds, Inc. will be able to exchange their shares for Class B shares of
United Cash Management, Inc.without payment of a deferred sales charge. Class
B shares of United Cash Management, Inc. will be offered through a Prospectus
separate from Waddell & Reed Funds, Inc. and will also be subject to contingent
deferred sales charges and Rule 12b-1 fees in the same manner as other funds in
Waddell & Reed Funds, Inc. Additional information about United Cash
