               INCLUDING 447,080 SHARES HELD BY RKB CAPITAL, L.P. FOR WHICH MR.
               SCHLEIDER SERVES AS GENERAL PARTNER, AND 6,938 SHARES ISSUABLE
               UPON EXERCISE OF OPTIONS HELD BY MR. SCHLEIDER THAT ARE
               EXERCISABLE WITHIN 60 DAYS OF FEBRUARY 14, 2000, THE DATE OF THE
