On March 24, 1999, the Registrant was notified that a final adverse judgment
had been entered against it in pending litigation involving the termination
of a former employee. On March 26, 1999, the Registrant announced that it and
the plaintiff in the action had entered into a settlement agreement. The
judgment against the Company totalled approximately $1,675,000 in damages.
The agreement contemplates the issuance of approximately 1,500,000 shares of
Registrant's common stock in satisfaction of the judgment. The timing of
these developments necessitates additional review by the Registrant of its
Form 10-KSB and related financial statements in the light of these
developments. The Registrant, therefore, cannot complete preparation of the
Form 10-KSB in a timely fashion.
