Explanation of Responses:
01:  The Reporting Person is a managing director of Goldman, Sachs & Co. 
("GS").  The purchase of 700 shares, 
which was effected by GS, was part of a basket which did not meet the 
requirements for exemption as outlined by 
the Securities and Exchange Commission.  The sale of these shares was part of 
an approved basket and therefore 
not reported.  Without admitting any legal obligation, GS will remit 
appropriate profits, if any, to the Company.  The 
Reporting Person disclaims beneficial ownership of the shares reported herein 
as indirectly purchased except to 
the extent of his pecuniary interest 
therein.
