Supplement dated July 15, 1996 to the
Prospectus and Statement of Additional Information
dated April 29, 1996
Effective July 15, 1996 the sales load for the other funds in BNY Hamilton
Funds, Inc. is discontinued. As a result, the following revisions to the
Prospectus are necessary:
i. The reference to a sales load in the Fee Table in the paragraph
regarding exchanges is no longer applicable.
ii. The reference to a sales load for the other funds in BNY Hamilton
Funds, Inc. as discussed in "Exchange of Shares" is no longer
applicable.
The following revisions to the Statement of Additional Information are
necessary:
i. The second paragraph in "Purchase of Shares" on page 30 should read
as follows:
"With respect to the Funds described in the Combined Prospectus, in
addition to cash, they may accept securities in payment for Fund shares
sold at the applicable net asset value, although they would expect to
accept securities in payment for Fund shares only infrequently.
Generally, they will only consider accepting securities (i) to increase
its holdings in one or more portfolio securities or (ii) if the adviser
determines that the offered securities are a suitable investment for a
Fund and in a sufficient amount for efficient management. Although no
minimum has been established, it is expected that a Fund would not
accept securities with a value of less than $100,000 per issue in
payment for shares. A Fund may reject in whole or in part offers to pay
for Fund shares with securities and may discontinue its practice of
accepting securities as payment for Fund shares at any time without
notice. A Fund will not accept restricted securities in payment for
shares. A Fund will value accepted securities in the manner provided
for valuing portfolio securities of the Fund. See "Net Asset Value" in
the Combined Prospectus."
ii. The following sentence should be added to the second paragraph under
"Distributor" on page 28:
"Effective July 15, 1996, the front end load for all Funds is
discontinued."
