State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

      The Registrant's management was involved in a transaction whereby a
      company in which the Registrant held a substantial interest in the common
      stock, there of, was Merged into another entity. The Merger was
      consummated on March 26, 1998. Such management time commitment with
      respect to the Merger made it unreasonably difficult to file the 10-K in a
      timely manner.
