Explanation of Responses:
(1) The option is exercisable as follows: 25% on October 22, 1994 and the remaining 75% in 36 equal monthly installments
thereafter.
(2) The Reporting Person's beneficial ownership excludes the securities of the Issuer beneficially owned by Apollo Cable Partners,
L.P. ("Apollo Cable Partners"). AIF II, L.P. ("AIFII") is the general partner of Apollo Cable Partners. Apollo Advisors, L.P.
("Advisors") is the general partner of AIFII. Apollo Cable Management, Inc. ("Management") is the general partner of Advisors.
The Reporting Person is a limited partner of Advisors and an officer of Management. The Reporting Person disclaims beneficial
ownership of all securities of the Issuer owned by Apollo Cable Partners, and the filing of this statement shall not be deemed an
admission that the Reporting Person, for the purposes of Section 16 or for any other purpose, is the beneficial owner of, or has
any pecunicary interest in, any securities owned by Apollo Cable Partners or any of its affiliates.
