                        Supplement dated June 8, 1994 to
               Prospectus and Statement of Additional Information
                             dated January 19, 1994


     The following information supplements and should be read with the section
of the Prospectus entitled "Expense Information."

Annual Operating Expenses

     The footnote to the table on page 2 states that the Manager has agreed to
bear any expenses of each Fund that would cause the Fund Operating Expenses to
exceed the Total Operating Expenses (After Reduction) specified in the table
for that Fund until October 30, 1994.  The Manager has agreed to extend this 
voluntary subsidy until September 30, 1996.

     The following information supplements and should be read with the section
of the Statement of Additional Information entitled "The Trustees and Officers.

     Effective May 11, 1994, William P. Link was elected as a Trustee and as
Chairman of the Board of Trustees of the Fund. Mr. Link's address is 56 N.
Livingston Avenue, Roseland, NJ 07068. Mr. Link's principal occupations during
the past five years are as follows: Executive Vice President, The Prudential
Insurance Company of America (November, 1990 to present); Chairman & Chief
Executive Officer, Group Operations (October, 1993 to present); Chairman &
Chief Executive Officer, Prudential Reinsurance (May, 1994 to present);
previously President, Group Operations (March, 1989 to October, 1993). Mr.
Link succeeds Robert E. Riley who resigned as a Trustee of the Fund effective
May 11, 1994.
