Explanation of Responses:
(1)  The Reporting Person elected to receive 1,167 shares of Common Stock in 
lieu of $8,169 in cash due him under 
the cancellation of his outstanding performance units.  The effective exercise 
price was $7.00 per share.
(2)  Performance units would have expired 120 days after August 1, 
1996.
