     Pursuant to Section 33(a) of the Public Utility Holding
Company Act of 1935, as amended (the "1935 Act") and Rule 57
thereunder, Tagetes Holding B.V. ("Tagetes"), a corporation formed
under the laws of The Netherlands, hereby notifies the Commission
that it is a "foreign utility company" ("FUCO") within the meaning
of Section 33(a) of the 1935 Act.  Tagetes is a subsidiary of
American Electric Power Company, Inc. ("AEP"), a registered holding
company under the 1935 Act.

                             ITEM 1

     State the name of the entity claiming foreign utility
     company status, its business address, and a description
     of the facilities used for the generation, transmission
     and distribution of electric energy for sale or for the
     distribution at retail of natural or manufactured gas. 
     To the extent known, identify each person that holds five
     percent (5%) or more of any class of voting securities of
     the foreign utility company and describe the amount and
     nature of the interest.

     The name and business address of the company claiming FUCO
status is:

     Tagetes Holding B.V.
     Herengracht 548
     Amsterdam, Netherlands

Description of Facilities

     Tagetes will own an undivided interest in jurisdictional
facilities consisting of electric generation and transmission
assets of the Hazelwood Power Station ("HPS") located in Victoria,
Australia, which are currently existing and operational.  The
facilities primarily consist of a 1600 megawatt brown coal-fired
power station.  The power station consists of eight units, each of
which is comprised of a boiler and turbine with a nameplate
capacity of 200 megawatts.  In addition, the jurisdictional
facilities include interconnecting transmission facilities
necessary to connect the power station to a wholesale power pool
managed by the Victorian Power Exchange, a statutory, nonprofit
Victorian government corporation, thereby effecting the facility's
sales of electric energy into the pool.  The transmission
facilities consist of a switchyard containing four 220 KV buses. 
The switchyard is connected to the State System via the following
high voltage transmission lines: (i) two 500 KV lines to Keelor
Terminal Station via Hazelwood Terminal Station; (ii) two 220 KV
lines direct from HPS switchyard to Roeville Terminal Station; and
(iii) two 220 KV lines to Roeville Terminal Station via Yallourn
Power Station Switchyard.

Ownership

     Currently Tagetes is a wholly-owned subsidiary of AEP
Resources, Inc., ("AEP Resources"), a corporation of the State of
Ohio, which, in turn, is a wholly-owned subsidiary of AEP.  AEP
Resources anticipates forming a Delaware company, AEP Resources
Hazelwood, Inc. ("AEP Hazelwood"), which would hold all the
outstanding voting stock of Tagetes.  Thus, Tagetes would be a
wholly-owned subsidiary of AEP Hazelwood, which would be a wholly-
owned subsidiary of AEP Resources, in turn a wholly-owned
subsidiary of AEP.

                             ITEM 2

     State the name of any domestic associate public-utility
     company and, if applicable, its holding company, and a
     description of the relationship between the foreign
     utility company and such company, and the purchase price
     paid by any such domestic associate public-utility
     company for its interest in the foreign utility company.

     The following companies, each of which is a direct or indirect
subsidiary of AEP, are domestic associate public utility companies
of Tagetes:  AEP Generating Company, Appalachian Power Company,
Columbus Southern Power Company, Indiana Michigan Power Company,
Kentucky Power Company, Kingsport Power Company, Ohio Power Company
and Wheeling Power Company.  None of the foregoing domestic
associate public Utility companies has any contractual relationship
with Tagetes.  No portion of the purchase price of Tagetes was paid
by any of the foregoing domestic public utility companies.

facilities to a wholesale power pool managed by the Victorian Power
Exchange, a statutory, nonprofit Victorian government corporation,
thereby effecting the facility's sales of electric energy into the
pool.  The transmission facilities consist of a switchyard which is
connected to the State grid system via high voltage transmission
lines.

Ownership

     Currently Bamer is a wholly-owned subsidiary of AEP Resources,
Inc., ("AEP Resources") a corporation of the State of Ohio.  AEP
Resources anticipates forming a Delaware company, AEP Resources
Energybrix, Inc. ("AEP Energybrix"), which would hold all the
outstanding voting stock of Bamer.  Thus, Bamer would be a wholly-
owned subsidiary of AEP Energybrix, which would be a wholly-owned
subsidiary of AEP Resources, in turn a wholly-owned subsidiary of
AEP.

                             ITEM 2

     State the name of any domestic associate public-utility
     company and, if applicable, its holding company, and a
     description of the relationship between the foreign
     utility company and such company, and the purchase price
     paid by any such domestic associate public-utility
     company for its interest in the foreign utility company.
