A subsidiary of the Registrant is scheduled to close the sale of the assets of
its subsidiary entities (corporations and partnerships) on March 31, 1998.
Additional time is needed to complete all the calculations, prepare and
accurately disclose the results of the transactions which will not be available
before the due date for Form 10-K.
