PART III - NARRATIVE
The Registrant is in the process of negotiations regarding the following: a
merger, sale of a significant asset, raising additional capital. One or more of
these matters may be resolved during the early portion of April, and as such
fifteen additional days are needed to properly file the Company's complete
Annual Report on Form 10-KSB. Resolution, or lack thereof, of any of these
matters will have a significant effect on the footnotes to the financial
statements and the auditor's report thereon. Accordingly, the Registrant
expects to file its complete Annual Report on Form 10-KSB on or before April
15, 1997.
