Dear Mr. MacNeil:
Registrant hereby requests that Registrant's initial registration
statement and Pre-effective Amendment No. 1 both on Form N-14 on behalf
of the Fund, filed with the Commission on January 27, 1995 and February
24, 1995, respectively, be withdrawn pursuant to Rule 477 of Regulation
C of the Securities Act of 1933. Registrant has determined that it does
not wish to pursue the acquisition by the Fund of the assets of Shawmut
Growth Equity Fund due to certain events that have occured since the
filing of the registration statement. For this reason, the Registrant
requests that the registration statement not be declared effective.
