SUPPLEMENT DATED JULY 15, 1996
TO PROSPECTUS DATED JANUARY 26, 1996
The following information supplements the corresponding information set forth
on pages 11 and 35 of the Funds' Prospectus:
Class C Shares - Additional Eligible Investors. Effective through December
31, 1996, Class C shares are available for sales made to any beneficial
owner, other than a Class D eligible investor or a Class A Retirement Plan
investor (as defined on page 33 of the Prospectus), that are effected
exclusively by the Distributor and not by or with the assistance of an
Authorized Firm. The Trust on behalf of a Fund can decline to make sales of
any shares and has instructed the Distributor to ascertain whether a person
that is seeking treatment as a Class C investor under this paragraph has been
assisted by an Authorized Firm before effecting any sale of Class C shares.
In addition, any such persons who invest in Class C shares during this
limited period may make additional purchases or exchanges of Class C shares
beyond December 31, 1996, provided the investor maintains an account with the
Trust in its, his or her name at the time of such additional purchase or
exchange and the investment is made in that name, or as custodian for a minor
or in an individual retirement account for such investor.
In addition, from July 15, 1996 through December 31, 1996, Class C shares are
available for purchase to approximately 100,000 selected customers (the
"Selected Customers") of certain consumer product subsidiaries and divisions
of General Electric Company. Selected Customers who invest in Class C shares
during this special limited offering will be able to make additional
purchases or exchanges of Class C shares beyond December 31, 1996 provided
that the Selected Customer maintains an account with the Trust in its, his or
her name at the time of the additional investment or exchange and the
investment is made in that name, or as custodian for a minor or an individual
retirement account for the Selected Customer. See "Purchase of Shares --
Class C Shares" in the Prospectus for other eligible investors in Class C
Shares.
