State below in reasonable detail the reasons why the Form 10-K, 10-Q, N-SAR, or
the transition report or portion thereof, could not be filed within the

In connection with commencement of the Company's financial services and
insurance operations, the Company determined to change its fiscal year end from
April 30 to December 31. Accordingly, the Company devoted substantial efforts to
preparation of financial statements for the Company's new fiscal year end as of
December 31, 1997 and a transition report on Form 10-KSB, which the Company
intends to file with the Securities and Exchange Commission. As a result,
preparation of the Company's quarterly report on Form 10-QSB for the quarter
ended January 31, 1998 has been delayed.
