Explanation of Responses:
(1) 293,841 shares are held by Sign Builders of America, Inc.("SBOA"), which is
100% owned by Mr. Adams.
(2) Assuming all interest on the note is paid. One half of the principal balance
of the Note ($225,000) plus accrued interest is convertible into Common
Stock of SIDT six months after the closing date of the Note. The remaining
$225,000, plus accrued interest is convertible into SIDT Common Stock
one-year from the closing date of the Note. SBOA has the option at each
payment date to take cash or the shares into which the Note is convertible.
(3) The Note into which these shares are convertible is held by SBOA, which
is 100% owned by Lance Adams.
