DEREGISTRATION OF UNISSUED SECURITIES
First Community Financial Group, Inc.'s ("FCFG") Registration Statement
on Form S-4, declared effective on November 8, 1995, Commission File No.
33-96966 (the "Registration Statement"), provided for the issuance of up to
584,796 shares of FCFG's common stock.
These securities were registered for issuance in accordance with the
Plan and Agreement of Reorganization and Merger dated August 10, 1995, (the
"Merger Agreement") described in the Registration Statement. Pursuant to the
exchange formula in the Merger Agreement, 553,382 shares of FCFG's common stock
were exchanged, leaving 31,414 shares registered but unissued. No further
securities are to be exchanged pursuant to the Merger Agreement. Accordingly,
FCFG hereby deregisters 31,414 shares not exchanged pursuant to the Merger
Agreement.
