Supplement to the Prospectus dated June 3, 1996
The second paragraph on page 32 of the Prospectus under the
subheading entitled "Portfolio Management" has been replaced by the
following paragraph:
Van Harissis has served as the portfolio manager of
the Growth/Phoenix Investment Counsel Portfolio since May
1996. Mr. Harissis is a Vice President of Phoenix
Investment Counsel, Inc. and has been with the company
since August 1995. Prior to joining Phoenix Investment
Counsel, Inc., Mr. Harissis held the position of Senior
Portfolio Manager at Howe and Rusling, Incorporated and
had been with that firm since 1990.
