10-Q, N-SAR, or the transition report or portion thereof, could not be filed

The Form 10-QSB could not be filed within the prescribed time period because
extra time was needed to compile financial statements, due to significant
corporate transactions which took place during the first quarter of 1999.

The statement of operations will reflect a net loss per share
of $.15 in the first quarter of 1999, compared to a net loss
per share of $.50 for the first quarter of 1998. The results
from the first quarter of 1999 include losses from both
continuing operations and from discontinued operations (a
mortgage banking business), whereas the loss from the first
quarter of 1998 was solely from discontinued operations of
the mortgage banking business.
