Exstar Financial Corporation (the "Company") is unable to timely file
its quarterly report on Form 10-Q for the quarter ending June 30, 1998 because
of the Company's implementation of a new computer system for claims, which has
delayed the determination of the Company's loss and loss adjustment expense
reserves at June 30, 1998.
