the prescribed time period. The Company has experienced a delay in the audit of
the financial statements for September 30, 1997, the Company has not been able
to compile the requisite financial data necessary to enable it to have
sufficient time to complete the Company's financial statements by November 14,
1997, which is the required filing date for the Company's quarterly report on
Form 10-QSB, without unreasonable effort and expense.

The Company anticipates a net loss of approximately $3,000,000 for
the nine months ended September 30, 1997. This net loss is primarily
attributable to a decrease in net sales and gross profit over the
same period last year.
