                  The exchange offer expired at 5:00p.m. Minneapolis time, on
                  July 31, 2000. Approximately 128,843 Class A shares, or
                  93.3% of those outstanding, were submitted for exchange and
                  accepted by the Company.  The Board of Directors waived the
                  condition that 95% of the Class A shares outstanding be
                  tendered.
