transaction whereby all of the assets and liabilities of ING Focus Fund and ING
Large Cap Growth Fund, series of ING Funds Trust, will be transferred to Pilgrim
LargeCap Growth Fund, a series of Pilgrim Mutual Funds, in exchange for shares
of Pilgrim LargeCap Growth Fund.
