The Company requires a filing extension for its Form 10-QSB for quarter ended December 31,1999. It is in the
process of completing final review of the report with its legal counsel and accountants as quickly as practicable;
however, the Company's limited resources have prevented it from completing the report to allow it to be filed by
its February 14, due date.

Based on the first quarters' results and expected results for the second quarter of fiscal 2000, the Company
expects to report a net loss of approximately $3.3 million for the second quarter ended December 31, 1999 versus a
loss of $3.9 million for the prior fiscal year's second quarter. The decreased loss is primarily attributable to a
reduction in operating expense, which is partially offset by higher interest expense.
