Vista Technologies Inc. ("Registrant") has not completed its Form 10-QSB
for the fiscal quarter ended December 31, 1996 due to delays arising from
adjustments to investments in affiliated entities arising from recent
transactions affecting those investments. The Registrant anticipates that its
Report on Form 10-QSB for the period ended December 31, 1996 will be filed on
or before the fifth calendar day following the prescribed due date.
