to the Proxy Statement,
dated April 2, 1999 (the "Proxy Statement"),
of Firstwave Technologies, Inc.
Roger A. Babb, a director and nominee of the Company, has advised the
Company that, as of March 23, 1999, he beneficially owned 84,360 shares (1), or
1.6%, of the Company's outstanding Common Stock. After giving effect to Mr.
Babb's ownership, as of March 23, 1999, all directors and executive officers as
a group beneficially owned 2,104,654 shares (1), or 40.8%, of the Company's
outstanding Common Stock. This Supplement amends and supplements the
information presented in the Proxy Statement under the caption "Beneficial
Ownership of Common Stock."
