Turnover in financial and accounting personnel, as well as the integration
of the substantial number of transactions consumated during the quarter,
have resulted in a delay in completing the financial statements for the

The Company expects to report a significantly larger loss from operations for
the three month period ended March 31, 2000 as compared to the loss from
operations for the three month period ended March 31, 1999, principally due to
significant costs incurred to develop the Company's various e-commerce
marketplaces.
