Esquire Communications Ltd. (the "Company") could not complete its
filing on Form 10-KSB for the year ended December 31, 1998 due to the number of
acquisitions completed by the Company in 1998 which caused a delay in obtaining
and compiling financial data necessary for the Form 10-KSB.
