Explanation of Responses:
Pursuant to a Merger Agreement, dated on July 10, 2000, by and between Wilmar
and its wholly-owned subsidiary, BW Acquisition, Inc., BW Acquisition
consummated a merger with and into the Issuer, whereupon the separate existence
of BW Acquisition ceased and the Issuer continued as the surviving corporation
and the 100% beneficial owner.
