Explanation of Responses:
(1) The transaction reported herein reflects a distribution of shares of
Journal Register Company common stock ("Common Stock") by Warburg,
Pincus Capital Company, L.P. ("WPCC") to its limited partners. After the
distribution, WPCC owned 23,073,776 shares of Common Stock. An
additional 12,086,349 shares of Common Stock are owned by Warburg, Pincus
Investors, L.P. ("Investors"). E. M. Warburg, Pincus & Co., LLC (the
"Company") is an affiliate of both WPCC and Investors. With respect to the
Common Stock held by WPCC and Investors, the Company disclaims
"beneficial ownership" within the meaning of Rule 13d-3 under the Securities
Exchange Act of 1934.
