         The  Corporation  is  changing  accountants.  Two  major  international
         accounting  firms  are  being  considered  by the  Corporation.  At the
         present time it was not possible for the new  management  to adequately
         review and file such report without unreasonable effort or expense.

                              GENERAL INSTRUCTIONS

         0-3 of the General Rules and Regulations under the Act. The information

         record in the Commission files.
