Explanation of Responses: (1) All quarterly director fees are payable in shares of Unilab common stock. The number of shares
issued (5,161) is calculated by dividing the quarterly director fee of $10,000 by the closing market price of Unilab common
stock ($1.9375) on the first business day of the quarter (October 1, 1998). The shares are issued pursuant to the Non-Employee
Directors Stock Plan.
