     Six Flags Entertainment Corporation (the "Company") is not able to file its
Form 10-Q with respect to the quarter ended March 29, 1998 on or prior to May
13, 1998 without unreasonable effort or expense due to unforeseen difficulties
in completing its review of the Company's unaudited results of operations as a
result of the Company's sale and change of control on April 1, 1998.
