State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
Pursuant to the Form 8-K filed with the NASD on March 1998, the Company has
engaged Vincent J. Batyr & Co. as its new, independent accountants. The
accountants have not been able to compile and review the financial
statements included in the Form 10-K. Therefore, the Form 10-K could not be
completed without unreasonable effort and expense within the time
prescribed. However, the Form 10-K will be filed on or before the fifth
calendar day of the prescribed due date.
