TO PROSPECTUS DATED APRIL 19, 1996
On May 17, 1996, 500,000 of the shares of PCI Common Stock held by AMI
were transferred to Fidelity Management & Research Company, a subsidiary of
FMR, in a private transaction. These shares were then given as a charitable
donation to a charitable gift fund. Both Fidelity Management & Research
Company and the charitable gift fund are eligible transferees pursuant to the
terms of the AMI Transaction.
The table under the caption "Selling Stockholders" is revised to reflect
these transfers by deleting the entry for AMI and replacing it with the
following:
