State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period. (ATTACH EXTRA SHEETS IF NEEDED)
The Company completed the closing and financing of the acquisition of PM
Entertainment Group Inc. as of April 3, 2000, requiring the integration of two
accounting staffs and compliance with numerous financing conditions and follow
up matters. As a result of the disruption in its accounting department, the
Company has been unable to complete the Company's Form 10-QSB for the quarter
ended March 31, 2000 by May 15, 2000, which is the required filing date for the
report, without unreasonable effort and expense.
