Options were transferred to a trust administered by an independent trustee for the benefit of Mr. Shacknai's children for which Mr.
Shacknai has no voting power. Thus, Mr. Shacknai disclaims beneficial ownership.

Options vest ratably and quarterly over a four year period commencing on date indicated when the first 6.25% vests and becomes
