Give brief description of transaction: The company effected a
3 for 2 stock split whereby on July 8, 1996 shareholders received
one share for every 2 shares owned. Cash was paid in lieu of
fractional shares. *In addition, the company recently exercised its
rights to convert its outstanding Series A Preferred Stock to common
stock and redeem certain of its outstanding warrants (subject to
prior exercise). Effective August 2, 1996, there will be approxi-
mately 691,000 additional shares outstanding assuming all warrants
are exercised.
