                  The  Company's  preparation  of its Annual Report on Form 10-K
         for the fiscal year ended  November 30,  1995,  has been delayed due to
         the change in control of the  Registrant  as described in the Company's
         Current  Report on Form 8-K  dated  March 20,  1995,  and  incorporated
         herein  by  reference,  and a change  of the  Registrant's  independent
         public accountants made during the fiscal year ended November 30, 1995,
         as described in the Company's Current Report on Form 8-K dated April 3,
         1995.

                  As a result of the foregoing,  the Company's  Annual Report on
         Form 10-K for the year ended November 30, 1995, cannot be completed and
         timely filed without unreasonable effort or expense.
