The registrant is presently engaged in in-depth discussions and
negotiations relating to the financing of the registrant's proposed power
project in El Salvador. As a result of the time and resources devoted to
carrying out such efforts, the registrant is unable to file its Form 10-Q for
the quarter ended March 31, 1998 by the prescribed due date.
