California corporation ("EII"). EII is a wholly owned subsidiary of CED.
3. These securities are directly owned by Lincolnshire Associates, Ltd., a
Texas limited partnership ("Lincolnshire"). Portshire Corp., a Texas
corporation and wholly owned susidiary of EII ("Portshire"), is the general
partner of Lincolnshire. Therefore, CED, through its ownership EII and
indirect ownership of Portshire, indirectly owns these securities.
