Micro Component Technology, Inc. and its subsidiaries (the Company) as of June
26, 1999, and June 27, 1998, and the related consolidated statements of
operations, changes in stockholders' equity and cash flows for each of the three

are the responsibility of the Company's management. Our responsibility is to
