                             GENERAL INSTRUCTIONS

     Rules and Regulations under the Securities Exchange Act of 1934.

     thereto must be completed and filed with the Securities and Exchange
     Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the 
     General Rules and Regulations under the Act.  The information contained in
     or filed with the form will be made a matter of public record in the
     Commission files.

3.   A manually signed copy of the form and amendments thereto shall be filed 
     with each national securities exchange on which any class of securities of
     the registrant is registered.

Part III

  The Registrants' quarterly report on Form 10-Q will be filed as soon as is
reasonably practicable following the prescribed due date.  Additional time is
necessary in order to provide a complete and  accurate report.

Part IV

  (3) The Registrants expect to report significant changes in their results of
operations from the corresponding periods of the prior year.  On January 5,
1998, three of Pratt Casino Corporation's subsidiaries, including Greate Bay
Hotel and Casino, Inc., its most significant subsidiary, filed petitions for
relief under Chapter 11 of the United States Bankruptcy Code in the United
States Bankruptcy Court for the District of New Jersey.  As a result of the
Chapter 11 filings, Pratt Casino Corporation's control over the filing
subsidiaries is subject to the supervision of the Bankruptcy Court and it does
not expect to be in control of such subsidiaries after reorganization.
Accordingly, the operations of the filing subsidiaries are now accounted for by
Pratt Casino Corporation under the equity method of accounting and the accrual
of interest on the first mortgage indebtedness of the filing subsidiaries has
been suspended.  Also as a result of the filings, interest receivable from the
filing subsidiaries has been reserved by PRT Funding Corp., negatively impacting
its results of operations for the 1998 periods.

      Primarily for the reasons cited above, the Registrants expect to report
significant changes in their operations compared to the corresponding periods of
the prior fiscal year.  The following table summarizes such changes:
