                             PART III--NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 11-K, 10-Q, N-SAR
or the transition report portion thereof could not be filed within the 
prescribed time period. 
 
        On September 23, 1997, Rex A. Ours resigned as Chief Financial Officer.
The timing of Mr. Ours departure caused a delay in the closing of the books and
the production of financial statements for the quarter ended September 30,
1997. Existing members of management and outside consultants have assumed Mr.
Ours duties until a new Chief Financial Officer can be located and retained.
