N-SAR, or the transition report or portion thereof could not be filed within the
prescribed period.

The employee at the Company who was  primarily  responsible  for general  ledger
accounting  unexpectedly  left the Company  shortly  before the filing date. Her
departure  from the Company,  coupled  with other  business  contingencies,  has
created the delay in generating the accounting information needed to prepare the
subject report.
