Supplement to the Prospectus dated March 23, 1994
Notwithstanding anything to the contrary in the Prospectus,
shares of Gerber Products were the subject of a cash tender which
was effective on August 26, 1994; accordingly the Portfolio of
each of the above referenced Trusts no longer includes shares of
Gerber Products. Such cash received (representing approximately
5.01% and 2.52% of the Portfolio in the case of Food & Beverage
Growth Trust, Series 1 and Food & Beverage Growth & Treasury
Securities Trust, Series 2, respectively) will be distributed on
a pro rata basis on the next Capital Distribution Date, which
shall be the last day of September to Unit holders of record on
September 15, 1994. In addition, a portion of the Public
Offering Price paid by Unit holders purchasing Units between
August 26, 1994 and September 8, 1994 will be invested in cash in
the same proportion as that previously held in shares of Gerber
Products; which cash will also be distributed on the last day of
September to Unit holders of record on September 15, 1994.
