State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
The audit of the Company's financial statements for the fiscal year ended
December 31, 1997 has not been completed, due principally to difficulties in
valuing certain parts inventories relating to aircraft being phased out of
the Company's fleet, and the establishment of reserves relating to the
planned disposition of a certain aircraft type.

The Company's results of operations for its fiscal year ended
December 31, 1997 will be significantly different from 1996 due principally
to three factors: (1) the impact of the voluntary suspension of operations
in May of 1997, as previously reported in the Company's Quarterly Reports;
(2) the termination of the Company's Midway Connection operation; and
(3) the anticipated disposition of a certain aircraft type from the
Company's fleet, which will result in certain charges against fiscal 1997
earnings. The Company is unable to state the quantitative effect of these
events at this time due principally to the difficulty in establishing the
appropriate level of reserves relating to the disposition of a certain
aircraft type.
