PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

     Due to the necessity to consolidation the financial statements of the
properties and companies acquired by the Company during fiscal year ended
September 30, 1998, it is an unreasonable burden and expense for the Company to
prepare its Annual Report on Form 10-KSB by December 30, 1998. The Company
intends to file its Annual Report on Form 10-KSB by no later than January 14,
1999.

      If so, attach an explanation of the anticipated change, both narratively
and quantitatively, and, if appropriate, state the reasons why a reasonable
estimate of the results cannot be made.

     During the fiscal year ended September 30, 1998, the Company anticipates a
net loss of $3,575,000, a significant increase from the net loss of $199,193
for fiscal year ended September 30, 1997.  This increase was due to decreased
sales revenues and increased general and administrative costs, which increased
by $2.1 million over the 1997 fiscal year.
