Ladies and Gentlemen,
This is an application pursuant to Rule 30a-1 of the General Rules and
Regulations under the Investment Company Act of 1940 to extend from 60
days to 75 days the date by which Bridgeway Fund, Inc. (the "Fund") may
legally file its annual report for the fiscal year which ended on
June 30, 1996.
The management of the Fund finds it impractiacal to file by the required
60 day deadline this year due to a number of factors: the illness over
several days of the staff person who is primarily responsible for
coordinating the audit, the time it is taking management to prepare the
filings on Edgar for the first time, and a more than two-fold increase in
Fund assets in the last three months which has competed for accounting
staff time.
Management has already instituted procedures that it believes will permit
it to meet the appropriate filing deadlines in the future, including the
addition of a full time person to the accounting staff. Since this
represents a nearly doubling of accounting staff time, it is a significant
commitment.
If the Staff agrees to this 15 day filing extension request, the management
of the Fund agrees to file the annual report with the Commission as soon as
it is able to, but no later than September 13, 1996.
